Terms of Use

The rules for using this website, buying hosting and support plans through it, and what belongs to whom. Project work is governed by a separate written agreement.

01Agreement

These Terms of Use (“Terms”) are an agreement between you and Veridian Marketing, LLC (“Veridian,” “we,” “us”), P.O. Box 6507, Toledo, OH 43612. By using veridian.marketing (the “Site”), submitting a form, creating an account, or buying a plan through the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Marketing, web development, AI implementation, and other project work is governed by a separate proposal, statement of work, or services agreement. Where that document and these Terms conflict, that document controls for the work it covers.

02Who may use the site

The Site is intended for businesses and for adults acting on behalf of a business. You must be at least 18 years old to buy a plan or create an account. If you use the Site for a company, you confirm that you are authorized to bind that company to these Terms.

03Purchases and billing

  • Prices are shown in US dollars and exclude any applicable taxes, which are added at checkout where required.
  • Monthly plans (hosting and the Support Plan) are billed in advance each month to the payment method on file and renew automatically until cancelled.
  • Extra-hour bundles are one-time purchases.
  • Failed payments. If a renewal payment fails we will notify you and retry. Services may be suspended if payment is not received within [10] days of the due date, and terminated after [30] days.
  • Cancellation. You can cancel a monthly plan from your account or by contacting us. The Support Plan requires 30 days’ notice, as stated on its plan page. Hosting cancellations take effect at the end of the current billing period. [Confirm hosting notice period.]
  • Refunds. Refunds are governed by the Refund Policy, which forms part of these Terms.
  • Price changes. We may change plan prices with at least 30 days’ notice by email; the new price applies from your next renewal after the notice period.

04Hosting plans

  • Plan limits. Each plan includes the number of sites, storage, bandwidth, backup retention, and features listed on the hosting page at the time of purchase. If your usage regularly exceeds your plan, we will ask you to move up a tier.
  • Your content. You keep ownership of the websites, content, and data you host with us. You are responsible for having the rights to everything you upload and for keeping it lawful.
  • Backups. Plan backups are retained for the period stated on your plan (3 to 30 days) and are a convenience, not a substitute for your own copies. Keep independent backups of anything you cannot afford to lose.
  • Security and updates. We maintain the server environment and the security tooling listed for your plan. Keeping WordPress, themes, and plugins updated is your responsibility unless you also have a Support Plan that covers it.
  • Acceptable use. Hosting is subject to the Acceptable Use Policy, which forms part of these Terms and covers prohibited content, resource limits, email sending, security responsibilities, and enforcement. We may suspend a site immediately to protect the platform and will notify you when we do.
  • Migration and leaving. Migration onto the Elite and Edge tiers is included. When you leave, we will provide a copy of your site files and database on request for [14] days after cancellation, after which data is deleted.
  • Availability. We aim for continuous availability but do not guarantee uninterrupted service. [State any uptime commitment or credit policy, or confirm there is none.]

05Support plans

  • Hours. The Support Plan includes four hours of work per calendar month, scheduled on an agreed weekday within that monthly allocation. A fifth occurrence of that weekday does not add an extra included hour. Unused hours roll over for 12 months. If the plan is cancelled, rolled-over hours are forfeited, so use them before the plan ends. Extra-hour bundles do not expire.
  • Scope. Hours may be used for support, advisory, SEO, strategy, development, project management, and testing on any website you own or control. Work outside that scope, and third-party costs such as premium plugins, licenses, stock assets, or advertising spend, are quoted separately.
  • Urgent work is handled on a best-effort basis. For immediate attention, call (419) 540-0015 during business hours.
  • Access. You will give us the access we need to do the work and confirm you are entitled to grant it. We use the access only for the work requested.
  • Term. Month to month, cancellable with 30 days’ notice. No long-term commitment.

06Accounts

You are responsible for keeping your account credentials confidential and for everything done through your account. Tell us immediately if you believe your account has been compromised. Keep your contact and billing details current so renewal and security notices reach you.

The Site and everything on it, including text, graphics, illustrations, photographs, page layouts, code, and the selection and arrangement of content, are owned by Veridian or licensed to it and are protected by United States and international copyright and other intellectual property laws.

You may view the Site and print or download pages for your own business use in evaluating our services. You may not copy, reproduce, republish, scrape, frame, distribute, modify, or create derivative works from any part of the Site, or use our content to train or fine-tune an AI model, without our written permission. Short quotations with attribution and a link are fine.

Trademarks

“Veridian,” “Veridian Marketing,” the Veridian mark, and “Readiness Brief” are trademarks or service marks of Veridian Marketing, LLC. [Confirm any registered marks.] WordPress, WooCommerce, LiteSpeed, Cloudflare, Google, Meta, Shopify, HubSpot, and other product names on the Site are the trademarks of their respective owners and are used only to identify the platforms we work with; no affiliation or endorsement is implied.

Work we produce for clients

Ownership of websites, designs, content, and systems we create for a client is set out in the agreement for that project. [Default position to confirm:] unless that agreement says otherwise, the client owns the delivered work once paid for, and Veridian keeps the right to reuse its general know-how, tools, and non-client-specific code. Client identity, project details, and measured outcomes are shared publicly only with the client’s permission.

Copyright infringement notices

If you believe material on the Site or on a site we host infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent: [agent name], Veridian Marketing, LLC, P.O. Include a description of the work, the URL of the allegedly infringing material, your contact details, a statement of good-faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature. We will respond as the DMCA requires, including notifying hosting customers and handling counter-notices. [Register the agent with the US Copyright Office.]

08Acceptable use of the site

Do not use the Site to send spam, to submit false or misleading information in forms, to attempt to gain unauthorized access to any system, to interfere with the Site’s operation, or to collect information about other users. Automated access is limited to well-behaved search engine crawlers that respect robots.txt.

09Third parties

The Site links to platforms and services we do not control, and checkout is processed by a third-party payment provider. Their terms and privacy policies govern your use of them. We are not responsible for third-party content, availability, or practices.

10Disclaimers

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Information on the Site, including plan specifications and case-study descriptions, may change and is not a warranty about results. Marketing and search outcomes depend on many factors outside our control, and nothing on the Site guarantees rankings, traffic, leads, or revenue.

11Limitation of liability

To the fullest extent permitted by law, Veridian and its members, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Site or of plans bought through it. Our total liability for any claim relating to the Site or a plan is limited to the amount you paid us for that plan in the twelve months before the claim arose, or $100 if you paid nothing. Some states do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify Veridian against claims, losses, and costs arising from content you host with us, your breach of these Terms, or your violation of law or of third-party rights.

12Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Lucas County, Ohio, and you consent to their jurisdiction. [Counsel to confirm venue and whether to add an arbitration or informal-resolution clause.] If any provision of these Terms is found unenforceable, the rest remain in effect.

13Changes

We may update these Terms. The date at the top of the page shows the current version. Material changes to plan terms will be sent to plan customers by email at least 30 days before they take effect; continuing to use the Site or a plan after that date means you accept the updated Terms.
